Making the offer.

Crypto has liquidity looking for something real. The bottom of the Nasdaq has real things looking for liquidity.

§1

The observation

On nov 04, 2026, the ten smallest US-domiciled companies on the Nasdaq had a combined market capitalisation of $5.38M. The smallest, Stratum Holdings Corp., was valued at $258.4K. These are companies with SEC filings, auditors, boards, employees and — in several cases — physical stores, buildings and patent portfolios.

On the same day, tokens with no assets at all routinely traded at many times that. We don’t think one of those facts is wrong. We think they are two markets that have never been connected.

§2

Why the bottom is cheap

Micro-caps aren’t cheap because someone has done the work and concluded they’re worthless. They are cheap because almost nobody is allowed to look. Institutions can’t take positions this small. Index funds exclude them. No analyst covers them. Retail holders who have lived through reverse splits and dilution have left.

What remains is a market priced by its own illiquidity. Some of these companies will fail. Others are operating businesses whose market cap says more about who is missing from the shareholder list than about the business.

§3

Why crypto

Token launchpads are among the most reliable fee generators in crypto. The fees are collected by programs, not promises: when someone trades, the money exists, on-chain, in that block. What has been missing is a reason for those fees to go anywhere useful.

TENDER gives every launch a destination. Instead of picking a meme, a creator picks a company. The community that forms around the token is, structurally, a community funding a position in that company.

§4

The mechanism

Each of the ten companies has its own Meteora Dynamic Bonding Curve config key, all owned by the same treasury. A token launched for a company is created under that company’s key. The pairing is therefore enforced by the program and visible to anyone who reads the chain — no database to trust.

Every swap pays the curve fee (5% at open, settling at 1%). Meteora keeps 20%; the rest accrues to the treasury, with the creator share set to 0%. When a token reaches 420 SOL in market cap it graduates to a DAMM v2 pool whose LP is permanently locked to the treasury, so its fees continue after graduation.

$TENDER, the index token, runs on the same rails under its own key. Its fees are split across all ten, equal-weight by default.

§5

From fees to shares

The treasury claims fees pool by pool and logs each claim against the config key it came from. Those attributed balances are converted to dollars and moved to a fund vehicle, which buys the paired company’s common stock through a US brokerage account (Alpaca).

Ownership thresholds are where this becomes interesting. Crossing 5% requires a public Schedule 13D or 13G filing — the market learns who you are. At 10%, the fund becomes a Section 16 insider. Beyond that, the position is large enough that management has to engage. We will publish positions as they cross these lines.

§6

The endgame

Ten small positions are optionality. One large position is leverage. Once a company’s attributed position nears a threshold, the index allocation can be concentrated to push it over. The goal is to reach a stake from which an outright acquisition — negotiated with the board, or through a tender offer — is a realistic conversation, not a slogan.

Owning a public company outright, funded by on-chain activity and run in public, would be a first. It might also be the best marketing a token community has ever had.

§7

What this is not

Tokens launched here are not shares. They do not represent ownership of, or any claim on, any listed company or on the treasury, and they carry no right to dividends or votes. The listed companies have no affiliation with TENDER. Treasury deployment is discretionary and subject to securities law. Several of the ten trade below Nasdaq’s $1 minimum bid and may reverse split, dilute or delist.

If that is acceptable to you, pick a company.
